USE OF ONDA CARD THROUGH GOOGLE PAY

Terms and Definitions

"Biometrics"
Biometric data, such as fingerprint or facial recognition, used to authenticate transactions in Google Pay through your Android device.

"ONDA CARD"
Card issued by ONDA FINANCE allows you to make purchases and financial transactions, physically or virtual.

"Conda ONDA FINANCE"
User account on the ONDA FINANCE platform linked to ONDA CARD, where data, transactions and limits are managed.

"Google Pay"
Digital wallet service provided by Google that allows you to add and use your ONDA CARD for payments on Android devices.

MTA (Money Transmission Agreement)
Money Transmission Agreement - Regulatory agreement that binds the ONDA CARD to the rules for moving funds on the ONDA FINANCE platform.

NFC (Near Field Communication)
Near Field Communication – Technology that allows wireless communication between nearby devices, used to make payments and data transfers by approximation, such as at payment terminals compatible with Google Pay.

"ONDA FINANCE" and/or "We/Us"
Referring to ONDA FINANCE LTDA, the issuing company of ONDA CARD, responsible for the administration of the ONDA FINANCE Account, the management of the Card and the provision of services related to the use of the Card in Google Pay, including security, support and compliance with the Terms and Conditions.

OTP (One-Time Password)
One-Time Password – This is a temporary code sent to the user, used for security authentication when adding the ONDA CARD to Google Pay.

Token
Virtual number generated for each ONDA CARD added to Google Pay, used to authorize purchases without revealing the physical card number.

"User" and/or "You/You"
Individual holder of an ONDA FINANCE Account and the ONDA CARD, who registers and uses the card in connection with Google Pay, agrees to fully comply with these Terms and Conditions.

1. Introduction

1.1. These terms and conditions ("Terms") constitute a contract between you ("User") and ONDA FINANCE LTDA regarding the access and use of your ONDA FINANCE CARD ("ONDA CARD") through Google Pay.

1.2. The registration of ONDA CARD in Google Pay provides you, the User, with new forms of payment, faster, safer and more convenient. With this functionality, you will be able to make face-to-face purchases by bringing your Android device closer to NFC-enabled terminals ("near field communication"), as well as make payments on websites and apps that accept Google Pay as a means of payment, without the need to physically carry your card.

1.3. In addition to expanding the possibilities of using ONDA CARD, Google Pay offers a simplified digital payment experience, which combines advanced security, biometric or password authentication, and integration with multiple physical and virtual establishments. This integration ensures greater practicality to the User's daily life, without altering the original functionalities of ONDA CARD or the rights and obligations provided for in the Terms of Use of the ONDA FINANCE Platform.

1.4. By registering to add ONDA CARD to Google Pay on your Android device, or by allowing another authorized cardholder linked to your account to add it to Google Pay, you represent that you have read, understood and fully agree to these Terms, and you agree to use the Card in accordance with the provisions herein. If you do not agree with any of the conditions set out, you must stop using the Card in Google Pay and/or remove the linked Card from your account in the app.

1.5. These Terms shall be interpreted in conjunction with and in addition to the Terms of Use of the ONDA FINANCE Platform and the Money Transmission Agreement (MTA) applicable to your Card. In the event of a discrepancy between the provisions of these Terms and those contained in the Terms of Use of the ONDA FINANCE Platform or the MTA, the provisions of these Terms shall prevail exclusively regarding the use of the Card through Google Pay.

1.6. You also acknowledge that your use of Google Pay is subject to the terms and conditions set forth by Google, which govern your use of the application and do not replace or alter the provisions of these Terms.

2. Eligibility and Registration

2.1. Google Pay is available to holders of duly issued and active ONDA Cards ("ONDA CARD") for the purpose of purchasing goods and services using compatible Android devices at contactless communication (NFC)-enabled merchants and/or online merchants that accept Google Pay as a payment method.

2.2. To add your ONDA CARD to Google Pay, you must register through the Google Pay application itself, either through integration with the ONDA FINANCE application or by directly entering/scanning the ONDA CARD data in the Google Pay digital wallet ("Card Registration").

2.3. During the registration process, additional authentication may be required for security purposes, including entering a one-time password (OTP) sent via SMS to the mobile number registered to your ONDA FINANCE Account, or another verification method required by ONDA FINANCE.

2.4. Registration may be refused if:

  • The Card is not eligible for use in Google Pay;
  • The authentication process is not completed successfully;
  • The Account linked to the Card is not in good standing or shows signs of inappropriate use, at the sole discretion of ONDA FINANCE;
  • There are technical limitations imposed by Google Pay, such as restricting the number of cards that can be added to the same device.

2.5. ONDA FINANCE may, at any time, establish limits on the number of devices in which the same ONDA CARD may be registered, and the User must observe the most recent communications and updates from ONDA FINANCE in this regard.

2.6. In cases where the customer has multiple Cards linked to their ONDA FINANCE Account, each Card will be treated independently, being subject to separate registration and authentication in Google Pay.

2.7. When you add ONDA CARD to Google Pay, you will be assigned a unique virtual card number ("Token" or "Device Card Number"), distinct from the physical ONDA CARD number, which will be used to make purchases, authorize transactions, and process refunds on Google Pay.

2.8. The replacement or renewal of a physical Card (for example, in the event of expiration, loss or damage) will not automatically affect the use of the Card in Google Pay, and new registration may be required, depending on the technical and operational circumstances.

2.9. Access to Google Pay depends on the technical compatibility of the Android device, minimum operating system version, and software updates required by Google. It is the User's responsibility to keep their device up to date to ensure the proper functioning of the service.

2.10. ONDA FINANCE may, for reasons of security, fraud prevention or regulatory requirements, temporarily suspend the eligibility of ONDA CARD for use in Google Pay, regardless of the regular situation of the account, and the User must follow the official communications for eventual reinstatement.

2.11. The registration of ONDA CARD in Google Pay is only an alternative way of using the Card, not replacing the existence or validity of the physical card linked to the ONDA FINANCE Account.

3. Safety, Liability, and Use of the Device

3.1. Android Device Security: You must always keep your Android device safe by adopting measures such as:

  • Locking the device when not in use;
  • Installation and periodic updating of protection software (when applicable);
  • Do not make unauthorized modifications to the device, such as jailbreaking or rooting, that disable the manufacturer's original security controls.

3.2. The use of ONDA CARD on modified devices is expressly prohibited and constitutes a violation of these Terms and may result in the immediate suspension of access to Google Pay.

3.3. Password and Credential Protection: You are responsible for maintaining the confidentiality of your passwords, PINs, or other access credentials used in Google Pay, including:

  • Do not share or disclose the password to third parties;
  • Do not store the password in a place or application accessible next to the device;
  • Not choosing easily predictable passwords (e.g., dates of birth, names, or obvious combinations);
  • Adopt caution to avoid negligence that compromises the security of credentials.

3.4. Use of Biometrics: If you choose to enable biometric authentication methods (such as fingerprint or facial recognition) on your Android device to access Google Pay, you won't be able to register third-party biometric data. If, for any reason, third-party biometrics are registered on the device and used to authorize transactions with ONDA CARD via Google Pay, such operations will be considered valid and your sole responsibility, as if they had been carried out by you.

3.5. Responsibility for Authorized Third Parties: Any use of ONDA CARD trough Google Pay made by third parties who have gained access to the device or credentials voluntarily or negligently by the User will be considered as duly authorized, and the User is entirely responsible for all transactions arising therefrom.

3.6. Limitation of Liability of ONDA FINANCE: The collection, storage and verification of biometric data, passwords or PINs are processed exclusively by the technology of the Android device. ONDA FINANCE does not have any control over these mechanisms and, therefore, cannot be held responsible for transactions carried out through Google Pay and authorized via biometrics, password or PIN linked to the device.

3.7. Loss, Theft or Misuse: In case of loss or theft of the device, compromise of credentials or unauthorized use of ONDA CARD via Google Pay, you must immediately notify ONDA FINANCE. It may be required to provide a formal statement, police report and/or other information necessary for the investigation.

3.8. You will be responsible for all unauthorized transactions carried out up to the time of communication, unless, after analysis by ONDA FINANCE, it is proven that:

  • (i) You have fully complied with the security measures set forth in these Terms;
  • (ii) It notified the occurrence without delay;
  • (iii) Fully cooperated with the investigation; and
  • (iv) There was no fraud, bad faith or gross negligence on his part.

3.9. Transaction History: The transaction history displayed in Google Pay represents only the initial authorization of the transaction. Final settlement amounts, any refunds, returns, chargebacks or exchange rate differences will be reflected exclusively in the official ONDA CARD statement, which will prevail in case of divergence.

3.10. System and Application Update: The User must keep their Android device, as well as the Google Pay and ONDA FINANCE applications, duly updated with the latest versions made available by the respective developers, in order to ensure the security and full functioning of the services. Failure to comply with this obligation may result in failures or unavailability, for which ONDA FINANCE will not be held responsible.

4. Fees and Charges

4.1. All fees, interest and charges applicable to the use of your ONDA CARD are provided for in the Terms of Use of the ONDA FINANCE Platform and/or available for consultation directly in your Account within the ONDA FINANCE application. Such amounts remain fully applicable even after the registration and use of the Card through Google Pay, with no change or exemption resulting from the use of the digital wallet.

4.2. ONDA FINANCE does not charge currently, any specific additional fee for the use of the Card through Google Pay. However, we reserve the right to institute such charges in the future, upon prior notice to the User, subject to the applicable rules.

4.3. You will be solely responsible for any third-party charges arising from your use of Google Pay, including but not limited to:

  • Internet connection fees;
  • Mobile data usage charges;
  • Text messaging or enablement fees imposed by your telecom carrier.

4.4. As a condition of using ONDA CARD on Google Pay, you agree and authorize ONDA FINANCE to send notifications, text messages or automated calls to the registered device, which may or may not be the same mobile number registered to your account.

5. Suspension and Termination of Use of Google Pay

5.1. ONDA FINANCE may, at its sole discretion and at any time, suspend, block or cancel the use of your ONDA CARD in Google Pay, regardless of prior notice or the presentation of justification. This prerogative may be exercised, including, but not limited to, the following hypotheses:

  • Modification or suspension of the type of transactions authorized in Google Pay;
  • Change of Card eligibility for use in Google Pay;
  • Changes to the applicable authentication or security processes;
  • Prevention of fraud, money laundering, terrorist financing or any illicit activity;
  • Failure to comply with these Terms, the Terms of Use of the ONDA FINANCE Platform or the Money Transmission Agreement (MTA);
  • Compliance with legal determinations, regulations or orders from competent authorities;
  • Suspicions of misuse, operational risk, technical failures or security measures that justify it;
  • Closure of the ONDA FINANCE Account or the contract that supports the issuance of the ONDA CARD.

5.2. ONDA FINANCE may also establish maximum limits of value per transaction and/or daily limits for the use of ONDA CARD in Google Pay, which will be defined at its sole discretion and may be changed and communicated to the User periodically, without the need for prior agreement.

5.3. In the event that ONDA CARD is suspended, blocked or cancelled, the User will not be able to use it in conjunction with Google Pay, even if the Card icon or symbol remains visible on their Android device. The same applies in the event of a temporary security block, in which case the use of the Card in Google Pay can only be reestablished after the situation has been regularized.

5.4. The suspension or termination of the use of ONDA CARD in Google Pay does not generate any right to indemnification or compensation for the User, and it is only up to the User to request clarification from ONDA FINANCE through the official service channels.

6. Collection, Use, and Sharing of Information

6.1. You expressly agree that ONDA FINANCE may collect, transmit, store and use technical, location, login and other information related to your use of ONDA CARD on Google Pay, including, but not limited to: application version, device type and model, operating system, security information (such as device root/jailbreak status) and authentication data.

6.2. The collection and use of this information will have the following purposes:

  • a) Ensure the correct functioning of ONDA CARD in Google Pay;
  • b) Strengthening security and fraud prevention mechanisms;
  • c) To allow adequate technical support to the User; and
  • d) Provide you with information about products or services that may be of interest to you.

6.3. You acknowledge that (i) Google, the provider of the Google Pay technology compatible with your ONDA CARD on Google Pay, as well as its subcontractors, agents and affiliates, and (ii) the applicable payment network branded as well as subcontractors, agents and affiliates of such payment networks, will have access to certain details of your transactions made with merchants through the use of your ONDA CARD through Google Pay at and/or for the purposes of:

  • (i) To perform its obligations hereunder;
  • (ii) Provide relevant transaction data;
  • (iii) Detect and deal with fraud;
  • (iv) Comply with applicable laws and regulations;
  • (v) Respond to inquiries made pursuant to court orders or by regulators;
  • (vi) Manage, improve the product and/or promote the use of Google Pay; and
  • (vii) Create business and/or technical performance reports.

6.4. You acknowledge that the use, storage, and disclosure of any personal information provided by you directly to Google, the applicable payment network under your ONDA CARD brand, or other third parties that support Google Pay will be governed by such party's privacy policy.

6.5. The use, storage and eventual disclosure of any personal data provided directly to Google, the applicable payment brand (e.g., Visa) or third parties that support Google Pay will be subject to the respective Privacy Policies of these entities, and ONDA FINANCE is not responsible for such treatment.

6.6. The processing of personal data carried out by ONDA FINANCE will comply with the General Data Protection Law (Brazilian Law No. 13,709/2018 – "LGPD") and other applicable rules, ensuring the User the rights provided for by law, including, but not limited to: access, correction, portability, anonymization, deletion and opposition to the use of data, under the terms of current legislation

6.7. The User acknowledges and agrees that the sharing of information described in this topic is a necessary condition for the correct functioning of ONDA CARD on Google Pay. Thus, if you do not authorize or oppose such sharing, certain features may be limited, impaired or even unfeasible, including the impossibility of adding, registering or using ONDA CARD in Google Pay.

7. Business Relationships and Disclaimer

7.1. Merchants may provide you with certain discounts, promotions, rebates, or other business benefits (such as free shipping, earning points, or bonuses on purchases) ("Offers") when you pay through Google Pay. These Offers are established solely by the merchant and governed by their own terms and conditions, which must be read and accepted directly by you.

7.2. ONDA FINANCE has no interference in the Offers made available by merchants, nor in their granting, validity, form of use, or term of validity. Any inquiries, complaints, returns, exchanges, warranties, delivery delays, or any other matters relating to such Offers shall be handled directly between you and the responsible merchant. ONDA FINANCE does not guarantee the accuracy, availability, or feasibility of the Offers and cannot be held liable for any losses, damages, or frustrated expectations arising from this relationship.

7.3. The fact that a certain Offer is presented or accessible through Google Pay does not imply, under any circumstances, endorsement, recommendation, guarantee of suitability or certification by ONDA FINANCE in relation to the merchant or the products and services offered. The business relationship established with such merchants is the sole responsibility of the User, who must carefully evaluate the applicable terms before carrying out any transaction.

7.4. You acknowledge that using Google Pay as a payment method does not change the nature of the legal relationship between you and the merchant. Thus, any contractual, legal or consumer obligation arising from the transaction remains the sole responsibility of the merchant, without ONDA FINANCE assuming any co-responsibility, intermediation obligation or solidarity.

8. Warranty Disclaimers

8.1. Google Pay is a service provided and operated exclusively by Google, without any interference or responsibility from ONDA FINANCE. You acknowledge and agree that the use of your ONDA CARD through Google Pay may eventually suffer delays, temporary failures, interruptions or unavailability resulting from technical or operational factors beyond the control of ONDA FINANCE. In such cases, ONDA FINANCE and its affiliates shall not be liable for any damage, loss or injury arising from the use or inability to use ONDA CARD in connection with Google Pay.

8.2. ONDA FINANCE is not part of the contractual relationship between you and Google, nor does it interfere with the terms and conditions of Google Pay. Accordingly, we make no warranties of any kind, express or implied, about the quality, availability, security, legal compliance, performance, or maintenance of Google Pay. All questions, complaints, or support requests related to the operation of Google Pay, including any intellectual property or consumer protection issues, should be directed directly to Google.

8.3. ONDA FINANCE does not recommend, endorse or guarantee in any way the performance or compatibility of the Android device used to operate Google Pay. The choice, configuration, maintenance and costs associated with the use of the Android device are the sole responsibility of the User. Any problem related to the functionality, performance or security of the device will not give rise to the responsibility of ONDA FINANCE.

9. Limitation of Liability

9.1. To the maximum extent permitted by applicable law, ONDA FINANCE, as well as its processors, suppliers, licensors, affiliates, agents, directors, and employees, shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including, without limitation, damages for loss of profits, goodwill, use, data, or any intangible losses, arising out of use, inability to use, or unavailability of Google Pay, including the use of ONDA CARD in connection with Google Pay.

9.2. Likewise, we do not assume responsibility for any situations arising from:

  • (i) Errors, mistakes, or inaccuracies in content presented by Google Pay;
  • (ii) Personal injury or property damage of any nature resulting from access to or use of Google Pay, including the use of ONDA CARD;
  • (iii) Interruptions or failures in the transmission of data to or from Google Pay;
  • (iv) Viruses, malware, Trojan horses, or other threats that may be transmitted by third parties through Google Pay;
  • (v) Errors or omissions in any content posted, transmitted, or otherwise made available via Google Pay;
  • (vi) Defamatory, offensive or illegal conduct of third parties, or content generated by other Users.

9.3. You acknowledge that your use of Google Pay and ONDA CARD through it is at your own risk, and that ONDA FINANCE does not guarantee continuous availability, total security, or uninterrupted performance of the service, nor of third-party devices used to access it.

10. Indemnity

10.1. You understand that the use of ONDA CARD in connection with Google Pay involves risks related to security, legality, and compliance with applicable rules. Accordingly, by using the Card, you agree that you must take responsibility for your actions and decisions, including any misuse, unauthorized or in violation of these Terms.

10.2. You hereby agree to indemnify, defend and hold harmless ONDA FINANCE, its directors, employees, agents, affiliates and representatives from and against any claims, losses, damages, costs, expenses, penalties, fines, interest, judgments and reasonable attorneys' fees arising from any actions, investigations, audits, inquiries or proceedings initiated by third parties that relate to:

  • (i) Any actual or alleged breach of your representations, warranties or obligations under these Terms, including non-compliance with ONDA FINANCE platform policies;
  • (ii) Inappropriate or improper use of ONDA CARD in connection with Google Pay, including willful, fraudulent, or intentionally negligent conduct;
  • (iii) Infringement of third-party rights, including, without limitation, intellectual property rights, privacy rights, and publicity rights;
  • (iv) Violation of any applicable law, rule or regulation in Brazil;
  • (v) Access or use Google Pay by anyone using your credentials, such as your Touch ID, password, PIN, or other security code; and
  • (vi) Any changes in laws, regulations, guidelines, circulars, or official guidance that impact your use of ONDA CARD or Google Pay.

10.3. You acknowledge that any amount arising from an indemnity obligation may be debited directly from your ONDA CARD or must be paid upon request by ONDA FINANCE.

11. Representation and Warranty

11.1. By using ONDA CARD in connection with Google Pay, you represent and warrant that:

  • (i) The name provided by you when registering the ONDA CARD for use in Google Pay is correct and fully corresponds to your legal name;
  • (ii) You are the rightful holder of all ONDA CARD Cards added to Google Pay;
  • (iii) All transactions made by you, or through any ONDA CARD linked to Google Pay, will comply with all applicable laws, rules and regulations, including tax, civil and anti-money laundering laws in force in Brazil;
  • (iv) You have the authority to receive notifications, calls, and text messages sent by ONDA FINANCE at the telephone number provided;
  • (v) You will not use any ONDA CARD on Google Pay for fraudulent, unlawful practices or practices that impair the operation, security or integrity of Google Pay;
  • (vi) You will not allow third parties to use your ONDA CARD on Google Pay without your express authorization;
  • (vii) The use of ONDA CARD in connection with Google Pay will be in full compliance with these Terms and Conditions.

11.2. You acknowledge that any breach of the above representations and warranties may result in corrective action by ONDA FINANCE, including the suspension or cancellation of the use of the ONDA CARD in Google Pay, without prejudice to applicable civil or criminal liability

12. Removing your ONDA CARD from Google Pay

12.1. You must follow the instructions provided by Google Pay to remove your ONDA CARD if you no longer wish to use it through Google Pay. It is your responsibility to ensure that all ONDA CARD Cards linked to your account are removed from the Android device prior to their disposal, sale, or any other situation that compromises the security of the device.

12.2. Removing ONDA CARD from Google Pay does not automatically terminate or cancel the physical or virtual Card. To permanently close your ONDA CARD, you must follow the procedures set forth in the Terms of Use of the ONDA FINANCE Platform.

13. Intellectual Property

13.1. All intellectual property rights, including all patents, trade secrets, copyrights, trademarks, and moral rights (collectively, "Intellectual Property Rights") in Google Pay (including text, graphics, software, photographs, and other images, videos, sounds, trademarks, and logos) are owned by Google, us, our licensors, or third parties.

13.2. Nothing in these Terms grants you any ownership rights in such content or in any trademark, technology, or copyrighted material. By adding your ONDA CARD or using it in connection with Google Pay, you acknowledge that you do not acquire any ownership rights, license or interest in said intellectual property rights.

13.3. You may not reproduce, distribute, modify, publicly display, create derivative works from, sell, license, or in any way exploit the Intellectual Property Rights of Google, ONDA FINANCE, our licensors, or third parties without the express written permission of the owner of such rights. Any unauthorized use may result in civil and/or criminal liability under Brazilian law, including, but not limited to, the Brazilian Copyright Law (Law No. 9,610/1998) and the Brazilian Industrial Property Law (Law No. 9,279/1996).

14. Changes to Terms and Conditions

14.1. We reserve the right to modify, update, or revise these Terms at any time in our sole discretion, including changes regarding eligibility, security, fees, liabilities, Google Pay functionality, or any other aspects of the use of ONDA CARD in connection with Google Pay.

14.2. Any changes will take effect immediately upon publication on the ONDA FINANCE app, on our official website or by such other means of communication as we deem appropriate. It is your responsibility to regularly review the Terms to stay informed of any possible modifications.

14.3. Your continued use of ONDA CARD in connection with Google Pay following the posting of changes constitutes express and full acceptance of the revised Terms. If you do not agree with any modification, you must immediately stop using ONDA CARD in Google Pay and remove the Card from the application, without prejudice to the application of the Terms in force at the time of the transactions made.

14.4. We may also, in our sole discretion, notify you of material changes by email, push notification, or other available means of communication, but the lack of direct notification does not relieve you of the obligation to comply with the revised Terms.

15. Divisibility

15.1. If any provision or part of a provision of these Terms is held to be illegal, invalid or unenforceable, it will be severed from these Terms, and the remaining provisions (or parts of provisions) will continue in full force and effect.

16. Governing Law and Language

16.1. These Terms and Conditions are governed by Brazilian law.

16.2. In case of any conflict or discrepancy between versions of this document in different languages, the Portuguese version shall prevail.
